How Selling Your Business Works

A confidential, organized process designed to protect what you’ve built while moving qualified buyers toward a closing.

01

Confidential Conversation

It starts with a conversation. Why are you considering selling? What's your timeline? What would a successful exit look like? And what matters to you besides price?

02

Valuation + Positioning

Next, we dig into the business. Financials. Operations. Assets. Employees. Owner involvement. Customers. Lease. Licensing. Market conditions. From there, we establish a defensible pricing strategy and determine how the opportunity should be positioned.

03

Prepare the Business for Market

We gather the information serious buyers are going to need and prepare the confidential marketing materials. The goal is to answer obvious questions before they become objections.

04

Confidential Marketing

Your business can be marketed without broadcasting its identity. Depending on the opportunity, that may include blind advertising, broker relationships, buyer networks, direct outreach and other targeted channels.

05

Qualify Buyers

An inquiry isn't a buyer. Before receiving sensitive information, prospects may need to demonstrate financial capability, acquisition criteria and seriousness—and execute an NDA.

06

Buyer Meetings + Offers

Qualified buyers move into deeper conversations. Questions. Meetings. Financial review. Site visits when appropriate. Eventually, the right conversation may become an LOI or offer.

07

Due Diligence + Financing

Now the buyer verifies the business information while the transaction moves through financing, lease assignment, licensing and other requirements. Good preparation on the front end can make a huge difference here.

08

Closing + Transition

Final documents are completed. Funds move. The transaction closes. Then you help transition the business according to the terms you negotiated.
